Terms of Service
Effective date: September 22, 2026.
1. Agreement
These Terms of Service govern access to and use of the MenuXYZ website, restaurant menu directory, upload features, content, blog, support links and website or digital services offered through MenuXYZ. By using the site, you agree to these Terms to the extent permitted by law. If you do not agree, do not use the site.
These Terms are written for a service that may be used by restaurants, diners, business owners and other visitors. Additional terms may apply to specific paid or third-party services. If a written service agreement conflicts with these general Terms, the specific agreement may control for that service to the extent legally permitted.
2. Eligibility and authority
You must have legal capacity to enter into an agreement under the laws that apply to you. If you submit information on behalf of a restaurant or business, you represent that you have authority to do so. If you are using the site for an organization, references to “you” include that organization and you represent that you have authority to bind it where appropriate.
3. Permitted use
You may browse public pages, view restaurant listings, use menu discovery features, submit legitimate menu information, contact MenuXYZ and use other available functions for lawful purposes. You must not interfere with the operation or security of the website, attempt unauthorized access, upload malware, impersonate another person, submit fraudulent information, abuse forms, bypass access controls, or use the site to violate law or another person's rights.
4. Restaurant submissions
When a restaurant or other user submits menu files, text, photographs, logos or business information, the user represents that the submission is accurate to the best of their knowledge and that they have the rights needed to provide it. The user grants MenuXYZ a non-exclusive permission to host, reproduce, format, display and distribute the submitted material as reasonably necessary to operate the MenuXYZ directory and related services.
The restaurant remains responsible for its own menu accuracy, prices, ingredients, allergens, availability, hours, contact information, licensing and compliance obligations. MenuXYZ may review, format, decline, remove or request changes to submissions. MenuXYZ is not required to publish every submission.
5. Content moderation
MenuXYZ may remove content that is unlawful, misleading, infringing, abusive, unsafe, technically harmful or inconsistent with these Terms. Removal does not mean that MenuXYZ has determined that a legal violation occurred. Where appropriate, MenuXYZ may preserve records or cooperate with lawful requests from authorities.
6. Intellectual property
MenuXYZ branding, original website text, software, layout, graphics and other original materials are protected by copyright, trademark and other intellectual-property laws. Restaurant names, logos, photographs, menus and other submitted content may belong to their respective owners. Except as allowed by law or with permission, users may not copy, republish, sell, distribute or create derivative works from protected MenuXYZ materials.
Nothing in these Terms transfers ownership of a restaurant's trademarks or menu content to MenuXYZ. The license described above is intended only to permit operation of the service.
7. Copyright complaints
If you believe material on MenuXYZ infringes your copyright, provide sufficient information to identify the protected work, the allegedly infringing material, your contact information and a good-faith statement of the claim. MenuXYZ may remove or restrict material while reviewing a complaint and may seek additional information. Where applicable, MenuXYZ intends to follow the procedures of the Digital Millennium Copyright Act and other relevant laws.
8. Website and digital services
MenuXYZ may offer website design, e-commerce connections, SEO, branding, content and maintenance services. The exact scope, price, timeline, ownership and deliverables should be described in a project proposal or service agreement. No result, including search ranking, sales volume, traffic, revenue or customer growth, is guaranteed unless expressly stated in a signed agreement.
Services may require third-party hosting, domains, payment processors, analytics, maps, social platforms, ordering systems or other technologies. Third-party fees and policies are separate from MenuXYZ unless expressly included in a written agreement.
9. Third-party services
MenuXYZ may link to or integrate with independent third parties. Third parties can include support providers, hosting companies, payment processors, reservation platforms, social networks, maps, analytics providers, advertising services and ordering platforms. MenuXYZ does not have legal control over independent third-party services. Their content, security, availability, fees and privacy practices are governed by their own terms.
A link to a third party is not an endorsement unless MenuXYZ expressly states otherwise. Customers should review third-party terms before entering transactions or submitting information.
10. Payments and refunds
If MenuXYZ offers paid services, pricing and payment terms should be presented before purchase or in a service agreement. Taxes, third-party fees and other charges may apply. Refund rights may arise under the applicable agreement or mandatory consumer law. Nothing in these Terms is intended to waive non-waivable consumer rights.
11. Accuracy and restaurant decisions
MenuXYZ is a directory and technology service, not the restaurant's operator. Menu information may be provided by restaurants or third parties and may become outdated. Customers should confirm prices, ingredients, allergens, hours, availability and ordering policies directly with the restaurant when those details are important.
12. Accessibility
MenuXYZ aims to make its website usable by a broad audience and encourages accessible design practices. U.S. law, including the ADA, can impose obligations on businesses open to the public. The exact legal standard depends on the business, service, jurisdiction and facts. Users should not assume that a website is legally compliant simply because it follows some accessibility practices.
13. Privacy
Use of the website is also governed by the MenuXYZ Privacy Policy and Cookie Policy. Those documents explain data practices and technology. If a third party collects information directly, its privacy policy may also apply.
14. Acceptable use
Users must follow the Acceptable Use Policy. Prohibited conduct includes malware, unauthorized access, credential abuse, harassment, unlawful content, fraud, deceptive activity, infringement and attempts to disrupt the service.
15. Availability and changes
MenuXYZ may change, suspend or discontinue features, listings or pages. Maintenance, security events, hosting issues and third-party outages can affect availability. We do not guarantee that every menu, restaurant listing or service will remain available indefinitely.
16. Disclaimers
To the extent permitted by law, the website and directory are provided on an “as available” basis without warranties that every listing is accurate, complete, current, uninterrupted or error-free. MenuXYZ does not guarantee that a restaurant will honor a listed price, item, promotion or ordering option. We also do not guarantee the performance of independent third parties.
17. Limitation of liability
To the maximum extent permitted by applicable law, MenuXYZ will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the website or third-party services. Any limitation is subject to mandatory laws that cannot be waived. If a jurisdiction does not allow a particular limitation, that limitation will apply only to the extent permitted.
18. Indemnification
To the extent permitted by law, a user may be responsible for claims arising from the user's unlawful conduct, infringement, violation of these Terms or misuse of the service. This section does not require indemnification where prohibited by law or where the claim results from MenuXYZ's own conduct to the extent the law makes such responsibility non-transferable.
19. Governing law and disputes
Unless mandatory law provides otherwise, these Terms are intended to be governed by applicable California law, without unnecessarily depriving consumers of mandatory rights in their home jurisdiction. Before formal proceedings, the parties are encouraged to attempt good-faith resolution through the contact process. Any arbitration or class-action provisions should be added only after legal review and only if appropriate to the actual business model.
20. International users
Users outside the United States are responsible for ensuring their use of the service is lawful in their jurisdiction. MenuXYZ does not represent that the service is appropriate or legally available in every country. Where local consumer, privacy or electronic-commerce rules apply, mandatory provisions may override conflicting terms.
21. Changes to Terms
MenuXYZ may update these Terms to reflect changes in services, technology or law. Material changes should be posted with a revised effective date and, where required, additional notice. Continued use after an effective change may constitute acceptance only to the extent permitted by law.
22. Contact
Questions about these Terms can be submitted through the Contact MenuXYZ page. Support is also available through the website's Contact Support link.
23. Electronic communications
When you contact MenuXYZ electronically, you consent to receiving responses by electronic means where appropriate. If a message is commercial, applicable marketing laws govern the communication. MenuXYZ should not treat a service response as consent to unrelated marketing. Where commercial email is sent, the sender information, subject line, identification and opt-out method should comply with applicable law.
24. Consumer protection
Nothing in these Terms is intended to mislead consumers or eliminate rights that cannot legally be waived. U.S. federal and state consumer-protection laws, including laws against unfair or deceptive practices, may apply to descriptions of MenuXYZ services. If a particular provision conflicts with mandatory law, the provision should be interpreted or limited to the extent necessary to preserve the mandatory right.
25. Service proposals and change requests
For website design or digital services, the written project scope should identify deliverables, client responsibilities, deadlines, revisions, hosting, domains, third-party costs and ownership. A request outside the original scope may require a change order or updated estimate. Silence or an informal conversation should not be treated as an unlimited promise to perform additional work.
26. Client materials
Clients are responsible for providing materials on time and ensuring they have rights to use logos, photographs, text, menu files and other content. Delays in client materials can affect project schedules. MenuXYZ may rely on client-provided factual information unless a separate verification service is included.
27. Domain names and hosting
Domain registrations and hosting accounts may be provided by independent third parties. The customer should understand who owns the domain, who controls the registrar account and who pays recurring fees. MenuXYZ cannot guarantee the availability or policies of a third-party registrar or host.
28. Backups and recovery
Where maintenance includes backups, the scope should identify what is backed up, how frequently and how restoration is handled. Backups are not a substitute for security. A customer should maintain access to important business records and should not rely exclusively on a single provider.
29. Accessibility and reasonable practices
MenuXYZ may follow accessibility-minded design practices, but the client remains responsible for business-specific legal obligations and content decisions. Accessibility can involve both technology and the actual content published. Restaurants should review accessibility requirements that apply to their business and jurisdiction.
30. Force majeure
Neither party should be considered in breach solely because performance is prevented by events beyond reasonable control, such as major network outages, natural disasters, government actions, widespread cyber incidents, labor disruptions or failures of critical third-party services, subject to applicable law and any written service agreement.
31. Severability and waiver
If a provision is found unenforceable, it should be limited or severed to the extent necessary while the remaining provisions continue. A failure to enforce a provision once does not necessarily waive the right to enforce it later.
32. Entire agreement
For a particular paid project, a signed proposal, statement of work or service agreement may form the complete agreement for that project together with these general Terms where incorporated. Marketing pages and general descriptions should not be interpreted as overriding the final written scope.
